  • The founder acknowledges a fiduciary duty to consider the impact of decisions on all stakeholders, including clients, communities, suppliers, and the environment.

 

Legal Structure and Accountability

  • illume is a sole proprietorship owned and operated by John Pritchard

  • The founder holds full decision-making authority and is accountable for upholding the mission, values, and stakeholder commitments.

  • Governance practices will evolve to reflect best-in-class ethical standards and B Corp principles.

 

Ethical Conduct and Stakeholder Engagement

  • All engagements shall be guided by honesty, fairness, and respect. Conflicts of interest will be disclosed and managed transparently.

  • illume will seek to empower clients and collaborators through inclusive, values-aligned partnerships.

  • Stakeholder feedback will be actively welcomed and used to improve practice.

 

4. Financial Stewardship and Impact Allocation

  • Income and expenditure shall be recorded accurately and reviewed quarterly.

  • 2% of annual profits will be allocated to charitable causes - environmental restoration, or community initiatives aligned with the consultancy’s mission.

  • Financial decisions will balance sustainability, resilience, and long-term impact.

 

5. Transparency and Reporting

  • The consultancy will publish an annual Impact & Governance Summary, outlining key projects, stakeholder outcomes, and governance practices.

  • Any material changes to governance, mission, or structure will be documented and shared with relevant stakeholders.

  • The founder will maintain open communication with clients and partners regarding ethical commitments and impact goals.

 

6. Data Ethics and Confidentiality

  • All client and stakeholder data will be handled in accordance with GDPR and ethical data principles.

  • Data will be stored securely, used only for agreed purposes, and never sold or misused. Trust and transparency are foundational to all data practices.

 

7. Brand Integrity and Public Representation

  • illume’s name, messaging, and visual identity shall reflect its values and mission.

  • Public communications will be clear, respectful, and free from misleading claims.

  • Any affiliations, endorsements, or partnerships will be disclosed transparently.

 

8. Continuity and Legacy

  • In the event of incapacity or closure, the founder will ensure that clients are informed and supported.

  • Ongoing commitments will be fulfilled or responsibly transitioned.

 

9. Evolution and Review

  • These articles are a living document, reviewed annually to ensure alignment with B Corp standards, stakeholder needs, and evolving best practices.

  • The founder remains committed to continuous learning, ethical growth, and regenerative impact.
